TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing and using SignalViper ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, you should not use this Service. These terms constitute a legally binding agreement between you and Forgestack LLC ("Company", "we", "us", or "our").

2. ELIGIBILITY

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

3. DESCRIPTION OF SERVICE

SignalViper provides technical analysis indicators for use on various charting platforms. Our indicators are tools designed to assist in trading analysis but do not constitute financial advice. The Service is for educational and informational purposes only.

4. SUBSCRIPTION, PAYMENT, AND REFUNDS

  • Subscriptions are billed monthly unless otherwise specified
  • All payments are processed securely through Stripe
  • Prices are subject to change with 30 days notice to subscribers
  • You may cancel your subscription at any time
  • All sales are final. Due to the digital nature of our products and immediate access to proprietary indicators, we do not offer refunds except where required by law
  • Refund requests for exceptional circumstances may be submitted to hello@signalviper.com within 7 days of purchase and will be reviewed on a case-by-case basis

5. USER RESPONSIBILITIES

You agree to:

  • Provide accurate account information
  • Maintain the security of your account credentials
  • Not share, resell, or redistribute access to the indicators
  • Not attempt to reverse-engineer, decompile, or copy our indicators
  • Not use automated systems to access the Service
  • Use the Service in compliance with all applicable laws
  • Not use the Service for any illegal or unauthorized purpose

6. INTELLECTUAL PROPERTY

All indicators, algorithms, designs, trademarks, and content provided by SignalViper are proprietary and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the indicators for personal trading purposes only during the term of your active subscription. This license does not include the right to sublicense, sell, resell, or commercially exploit the Service.

7. NOT FINANCIAL ADVICE

SignalViper provides tools for technical analysis only. Nothing in the Service constitutes financial, investment, legal, or tax advice. We are not registered investment advisors, broker-dealers, or financial planners. You should consult with qualified professionals before making any financial decisions. You are solely responsible for your trading and investment decisions.

8. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING OUR INDICATORS. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALVIPER AND FORGESTACK LLC SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOST PROFITS, LOSS OF DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless SignalViper, Forgestack LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Service; (b) your violation of these terms; (c) your violation of any third-party rights; or (d) any trading or investment decisions you make.

11. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, controversy, or claim arising out of or relating to these terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Arbitration shall take place in the State of Delaware, USA.

Class Action Waiver: YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction.

12. GOVERNING LAW

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Delaware.

13. TERMINATION

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these terms. Upon termination:

  • Your right to use the Service will immediately cease
  • You will lose access to all indicators and features
  • No refunds will be provided for the remaining subscription period
  • Sections regarding intellectual property, disclaimers, limitations of liability, indemnification, and arbitration shall survive termination

14. CHANGES TO TERMS

We reserve the right to modify these terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified terms. If you do not agree to the new terms, you must stop using the Service.

15. SEVERABILITY

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.

16. ENTIRE AGREEMENT

These terms, together with our Privacy Policy and Risk Disclosure, constitute the entire agreement between you and SignalViper regarding the Service and supersede all prior agreements and understandings.
